Intellectual Property

Payment Terms

Payment terms for our services will be specified in your service agreement or invoice. Generally:

• Fees are due within 30 days of invoice date unless otherwise specified
• All prices are quoted in British Pounds (GBP) and exclude VAT unless stated otherwise
• Late payments may incur interest charges at the rate of 8% above the Bank of England base rate
• We reserve the right to suspend services for overdue payments
• Refunds are subject to the specific terms of your service agreement

Data Protection and Privacy

We are committed to protecting your privacy and handling your data in accordance with UK data protection laws. Our data processing practices are detailed in our Privacy Policy, which forms part of these Terms.

When providing AI services that involve processing your data, we will act as either a data processor or joint controller as appropriate, and will enter into necessary data processing agreements to ensure compliance with GDPR and UK data protection requirements.

Limitation of Liability

To the fullest extent permitted by law, Tarnivo's liability for any claims arising from or related to our services is limited as follows:

• Our total liability shall not exceed the fees paid by you for the specific service giving rise to the claim in the 12 months preceding the claim
• We shall not be liable for any indirect, consequential, special, or punitive damages
• We exclude liability for loss of profits, business interruption, or loss of data except where caused by our gross negligence
• Nothing in these Terms excludes our liability for death or personal injury caused by negligence, fraud, or other matters that cannot be excluded by law

AI and machine learning technologies are inherently probabilistic and may not always produce perfect results. We provide our services with reasonable skill and care but cannot guarantee specific outcomes or performance levels unless explicitly agreed in writing.

Service Availability

We strive to maintain high availability of our services but cannot guarantee uninterrupted access. We may temporarily suspend services for maintenance, updates, or due to circumstances beyond our control. We will provide reasonable notice of planned maintenance where possible.

Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer, you may also bring proceedings in the courts of your country of residence.

Termination

Either party may terminate the service relationship in accordance with the terms specified in the relevant service agreement. Generally:

• We may terminate services immediately for material breach of these Terms
• You may terminate ongoing services with appropriate notice as specified in your service agreement
• Upon termination, you remain liable for all fees incurred up to the termination date
• We will assist with data return or deletion as required by data protection laws
• Confidentiality obligations and intellectual property rights survive termination

Force Majeure

Neither party shall be liable for any delay or failure to perform due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

Entire Agreement

These Terms, together with any specific service agreements and our Privacy Policy, constitute the entire agreement between you and Tarnivo regarding the use of our services. These Terms supersede any prior agreements or understandings relating to the subject matter.
